Terms of Service

These Terms of Service ("Terms") govern your access to and use of the TrustOffice website at trustoffice.app and the TrustOffice web application at app.trustoffice.app (together, the "Services"), provided by TrustOffice, a product operated by AgenticTrust ("we", "us", or "our"). By creating an account or using the Services in any way, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Services.

1. Eligibility and account registration

You must be at least 18 years old and able to form a binding contract to use the Services. When you create an account, you agree to provide accurate, current information and to keep it updated. You are responsible for safeguarding your login credentials and for all activity under your account.

2. Description of the Services

TrustOffice is a governance support platform that helps trustees and related parties organize governance calendars, document decisions and minutes, track distributions and compensation, and maintain entity and structural information. The Services are intended to support governance discipline and documentation; they do not provide legal, tax, accounting, or investment advice.

3. Your responsibilities

You are responsible for:

• Ensuring that your use of the Services complies with all applicable laws, regulations, and obligations under your trust instruments, entity documents, and fiduciary duties.
• The accuracy and completeness of the data you enter into the Services.
• Maintaining appropriate backups or copies of important documents and records.

4. No legal, tax, or fiduciary advice

The information and tools provided through TrustOffice are for organizational and documentation purposes only. We do not provide legal, tax, accounting, or investment advice. You remain solely responsible for the legal and tax consequences of your governance and financial decisions.

5. Subscription and payments

Access to the Services requires a paid subscription. We offer the following subscription plans: Trustee, Estate, and Advisor. Current pricing is available at https://trustoffice.app/pricing/.

Subscriptions automatically renew at the end of each billing cycle (monthly or annual) unless you cancel before the renewal date. You can cancel at any time from your account billing settings. Cancellation is prospective only — you will not be charged for the next cycle, but the current billing period is non-refundable. We will notify you of any material price change at least 30 days before it takes effect.

6. Termination and suspension

You may stop using the Services at any time. We may suspend or terminate your access to the Services, with or without notice, if you violate these Terms or applicable law.

7. Intellectual property

TrustOffice and all related content, features, and functionality are owned by TrustOffice and protected by intellectual property laws. You may not copy, modify, or create derivative works from the Services without our consent.

8. Warranty disclaimer

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

9. Limitation of liability

To the maximum extent permitted by law, TrustOffice will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services.

In no event shall our total aggregate liability arising out of or related to these Terms or the Services exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Governing law

These Terms are governed by the laws of the State of Utah, without regard to conflict of law principles. Any disputes will be resolved in the courts located in Utah.
